Service Agreement...


During the term of this agreement YALE UNIFORM RENTAL (YALE) agrees to rent, furnish, clean, repair, pick up and deliver the articles of merchandise ordered, and CUSTOMER agrees to rent its entire requirements of such merchandise exclusively for YALE.

YALE further agrees:                                                                                                                          

1.

 

That this agreement shall be effective for a minimum of 36 paid months from date of first delivery.

2.

 

To provide consistent weekly pickup and delivery for all rental items.

3.

 

To provide industrial laundry washing for each rental item.

4.

 

To provide prompt, detailed inspection of each rental item and provide for repair and/or replacement of those items as reasonably needed.

5.

 

To provide customer upgrades as mutually agreed by customer and supplier.

6.

 

To provide service quality rental items for customer's new employees.

7.

 

To stock service quality shirts, pants, jackets, coveralls, and various other related items in the following sizes:

YALE UNIFORM RENTAL Emblem Stocking Policy:

 

 

Immediate Stock - 3 times the number individual renters

 

 

@ 1 year - 2 times the number individual renters

 

 

@ 2 years - 1 times the number of individual renters

 

 

@ 3 years - 1 times the number of individual renters

 

 

Renewal Time - 3 times the number of individual renters

 

 

Yale Uniform maintains camera-ready artwork of your company logos. Complementary copies of your logo are always available.

11.

 

To maintain an inventory of name emblems for each individual uniform user.

12.

 

To provide for receiving rental items from customer quit employees.

13.

 

To treat our waste water to all local, state, and federal standards that are applicable to YALE UNIFORM RENTAL.

14.

 

To provide accurate, computer-generated invoices each week from a handheld computer. All customer requests will be entered into the handheld computer for accurate transmission to productions personnel at the laundry plant. Handheld computers will also be used to provide quit man pricing to the customer as well as status reports on add men, upgrades, and accounts receivable.

15.

 

To provide access to billing and customer records. Our computer system has the capacity to store two years worth of billing and payment records that can be accessed through the Internet using a PIN number. We will also provide you with a quarterly and annual summary of your business activity with YALE.

 

 

 

CUSTOMER further agrees:                                                                                                                  

1.

 

That this agreement shall be effective for a minimum of 36 paid months from date of first delivery. Either party may cancel this agreement at the end of the original agreement by giving written notice of cancellation to the other party not less than 60 days prior to the end of the agreement.

2.

 

To pay for each item which is ordered for rental, the preparation and emblem charges for each rental item, and the replacement charges for each lost or abused rental item. Special sizes are available only as DIRECT SALE and are labeled accordingly. Rates are listed on attached page.

3.

 

If this agreement is breached by CUSTOMER, then CUSTOMER shall return or pay for all inventory and additionally CUSTOMER shall pay liquidated damages, a dollar amount equal to the number of weeks remaining in the term of this agreement multiplied by 50% of the average weekly rental.

4.

 

All rental merchandise remains the property of YALE. CUSTOMER assumes full responsibility for all articles delivered by YALE and CUSTOMER agrees to pay fair market value for any article not returned when due to articles damages by abuse, paint, fire, acid, ink, or silicone.

5.

 

That YALE is in no way infringing upon any existing contract between CUSTOMER and another uniform rental service.

6.

 

YALE'S weekly rental rate is based on continuous service during the term of this agreement. No credit shall be allowed for garments not worn, or for periods of temporary layoff, vacation or sickness.

7.

 

The YALE charge policy is: All accounts are due by the 10th of the month.

8.

 

That any major complaint with YALE'S service shall be in writing and set certified mail to:

YALE shall have 30 days to correct or respond to any such compliant.

9.

 

This agreement, and executed copy of which is mailed to the CUSTOMER, is binding to the heirs, executors, assigns or other personal representatives of the respective parties hereto.

10.

 

That garments being rented are not fire retardant.
